In recent years, increasingly more and more emphasis has been placed on the governance and regulation of executive compensation and benefits.  Institutional shareholders and other shareholder advocate groups have become less tolerant of compensation and benefit programs that “overpay” executives who are not performing.  Sarbanes-Oxley, the new SEC executive compensation disclosure rules, and Internal Revenue Code Section 409A are only a few examples of the government’s attempt to regulate this area.  Now than ever before, it is imperative for banking institutions to comply with the various rules and regulations and monitor the cost of executive compensation and benefits to ensure that shareholders are getting the value they deserve.

 
Session Content
  • Discuss the various challenges that community banks face in establishing and administering executive compensation and benefits programs in the current regulatory environment. 
  • The speakers will identify the various tax laws, SEC regulations, OCC and institutional shareholder guidelines and best practices that impact the administration and governance of executive compensation and benefits programs. 
  • The speakers will present compensation data obtained from institutions of various sizes and identify current trends in the banking industry. 
  • The speakers will also discuss the pros and cons of Bank Owned Life Insurance as a means to fund executive compensation obligations, such as deferred compensation, supplemental executive retirement and death benefit plans, versus other funding mechanisms. 
  • The program has been designed to provide banking institutions of various sizes an overview of the challenges of compensating banking executives in this new world of regulation and shareholder scrutiny.
